1. Agreement to Terms

By accessing or using CashTrace ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). CashTrace is owned and operated by Kigs Apex LLP, a Kenya-registered limited liability partnership with its principal office in Nairobi, Kenya.

If you do not agree to these Terms, do not use the Platform.

2. Description of Service

CashTrace is a receivables intelligence and collections automation platform for African SMEs. The Platform enables users to:

  • Upload and manage invoices (including OCR extraction from documents)
  • Record and track payments received via M-Pesa, bank transfer, cheque, or cash
  • Automatically match payments to invoices using AI-powered algorithms
  • Visualise outstanding receivables and aging data
  • Automate collections reminders via email and SMS

CashTrace does not process, hold, or transfer money. It is a record-keeping and automation tool that tracks payments made through external channels.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorised use of your account
  • You must be at least 18 years old to create an account

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Upload false, misleading, or fraudulent invoice or payment data
  • Attempt to gain unauthorised access to the Platform or other users' data
  • Interfere with or disrupt the Platform's infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to harass debtors or send abusive collections communications
  • Resell or redistribute access to the Platform without written permission

5. Your Data

You retain ownership of all business data you upload to CashTrace (invoices, payment records, customer information). By using the Platform, you grant us a limited licence to process this data solely for the purpose of providing the service, including:

  • OCR extraction from uploaded documents
  • Payment-to-invoice matching using our algorithms
  • Sending collections reminders on your behalf
  • Generating reports and analytics for your dashboard

Your data is isolated by business — no other CashTrace user can access your data unless you explicitly grant them access (e.g., inviting an accountant).

6. Intellectual Property

All content, code, design, trademarks, and intellectual property of the CashTrace platform are owned by Kigs Apex LLP. No reproduction, distribution, or derivative works are permitted without prior written consent.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will endeavour to provide advance notice of planned downtime.

8. Accuracy of Matching

CashTrace's AI-powered matching engine provides suggestions based on algorithmic analysis. While we strive for high accuracy, matches are not guaranteed to be correct. You are responsible for reviewing and confirming all payment-to-invoice matches. CashTrace is not a substitute for professional accounting judgement.

9. Collections Reminders

When you configure automated reminders, CashTrace sends communications to your customers on your behalf. You are responsible for:

  • The accuracy of recipient contact details
  • The content and tone of reminder templates you create
  • Ensuring reminders comply with applicable Kenyan laws and regulations
  • Pausing or stopping reminders when invoices are resolved

10. Limitation of Liability

The Platform and its contents are provided "as is" without warranties of any kind, either express or implied. To the maximum extent permitted by Kenyan law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability is limited to the amounts you have paid for the specific services giving rise to the claim
  • We are not liable for losses arising from incorrect OCR extraction, matching errors, or failed reminder delivery

11. Indemnification

You agree to indemnify and hold harmless Kigs Apex LLP, its partners, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.

12. Confidentiality

We treat all business information shared through the Platform as confidential. We will not disclose your business data to third parties except as described in our Privacy Policy or as required by law.

13. Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination:

  • You may request an export of your data within 30 days
  • We will retain data as described in our Privacy Policy
  • Provisions that should survive termination (liability, indemnification, governing law) will remain in effect

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Platform after changes constitutes acceptance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Kenya.
